12. Indemnification

These Terms are governed by the laws of the State of OH, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or your use of the Site is the state or federal courts located in OH, and you consent to the personal jurisdiction of those courts.

Before filing any formal action, you agree to attempt in good faith to resolve the dispute by contacting us in writing at the address below and providing a brief written description of the dispute and the relief sought. We will respond within thirty (30) days.

We may terminate or suspend your access to the Site at any time, with or without cause and without notice. The provisions of these Terms that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitations of liability, and governing law) will survive.

15. Entire Agreement; Severability
